| Canadian Locators Inc. (CLI) is in the business of locating
underground facilities for the utility, construction, and other industries for the dual purposes
of ensuring public safety and providing end-users with uninterrupted services. CLI, through its
locating services, provides the essential link between excavators and utility operators improving
the efficiency of communications and the accuracy of service and is poised, through the use of its proprietary,
ground-breaking technology, to become a leader in the national utility locating industry. |

UMS will have free access to all the related technology
from IDTechnologies in order to provide all the services described previously. There is a number of
patented systems UMS can have exclusive access for the provision of its services that will provide UMS
a real and unique competitive advantage in the world market. Such technological infrastructure will include:
- The "Mercury" hardware for mapping data
- The "Mercury" field QC and drawing system (laptop based)
- The "UtilityOffice" environment
- The "GIS" and "Mapbase" subsystems
- any other system that will be required and already exists in ID Technologies inventory or
has to be developed.
UMS will not own the technologies or maintain R&D and IT departments to support such technologies. A
percentage fee from revenues will be allocated to ID Technologies for such services. UMS will not sell
and support technologies but only technical services. ID Technologies could sell technologies to UMS
clients if required |

| ID Technologies is developing, for INTUS, technology for underground
undetectable utilities such as sewer laterals, as well as detailed underground mapping technologies for
detailed continuous mapping of 3-dimensional volumes for engineering applications. Our extensive
experience in seismic data acquisition, processing, interpretation and seismic tomography will be key
elements of our research. |

| ID Technologies is working with the Maritime Logistics Center
in developing a complete solution for tracking and monitoring container logistics business within the
state of Georgia. The complete solution is built around different technological advantages, which include
hardware and software solutions, all interacting together in a manner suited for and defined by the business
processes of container logistics. A combination of the HermesBase web portal (providing electronic notification
and full-scale reports), Hermes wireless communications and fleet and work order management device, and RFID
technology creates a one-of-a-kind solution taking advantage of wireless dispatching and monitoring of
not only industry crews and fleet vehicles but container pickups and delivery destinations. ID Technologies
, under this project, is involved in a joint R&D development with Georgia Tech / Electronic Design Center
